In this position as a Paralegal (Transactions & Subsidiary Mgmt.), you will be expected to assist with the Company’s Legal Department in the areas of subsidiary maintenance and corporate transactions. 


Subsidiary Maintenance:

  • Take the lead role in overseeing and maintaining corporate subsidiary compliance, including preparing materials for subsidiaries’ governing bodies (such as resolutions, unanimous consents, secretary’s certificates, etc.)
  • Performing traditional corporate paralegal duties, including forming, qualifying and dissolving corporations, limited liability companies and joint ventures, preparing merger and consolidation paperwork, drafting resolutions and basic articles of incorporation, bylaws, stock certificates and other organizational documents for subsidiaries, and maintaining corporate minute books, corporate organization charts, officer slates and subsidiary databases
  • Acting as liaison to registered agents and other service providers to ensure products and services are meeting the needs of the Company
  • Assembling information and documents in response to various independent auditor, administrative and regulatory agency requests
  • Serve as back-up for SEC filings such as Section 16 reports and 8-Ks
  • Assist with other projects and matters assigned as needed

Corporate Transactions:

  • Assisting with mergers and acquisitions, financing and divestiture transactions, including preparing and tracking documents, obtaining signatures and assisting with transaction closings and integration
  • Preparing and revising confidentiality and non-disclosure agreements relating to transactions
  • Maintaining financial agreements, confidentiality, non-solicitation and restrictive covenant databases
  • Assisting with closings and post-closing matters
  • Assisting in the preparation and filing of Forms ABS 15G with the SEC
  • Assist with other projects and matters assigned as needed


  • 5-8 + years of corporate paralegal experience
  • Bachelor’s Degree, supplemented by paralegal certificate from an accredited school
  • Must be detail oriented, self-motivated, with good judgment and prioritization skills and capable of working independently with minimal attorney oversight
  • Must be responsible, self-reliant, articulate, organized individual with a professional manner in all written and oral communications
  • Must be able to recognize and maintain confidentiality, recognize and escalate issues, collect necessary information and prioritize a large workload and work under specific deadlines
  • Proficient in Visio, Outlook, Microsoft Excel, Word and PowerPoint
  • Excellent interpersonal skills and the ability to work effectively under pressure are required
  • Ability to work with others and proof their work and provide feedback or direction as a subject matter expert
